Terms of Service
These Terms of Service (“Terms”) are a contract between you and Digital Alley AB, a company registered in Sweden (org. no. 559259-2504), with its registered address at Kalkstensvägen 42, 216 31 Limhamn, Sweden (“Digital Alley,” “we,” “us”). They govern your access to and use of ShiftScout — our web and mobile scheduling application, at shiftscout.io and any related subdomains (the “Service”).
By creating an account, accepting an invite to join a team, or otherwise using the Service, you agree to these Terms. If you’re accepting on behalf of a business, you confirm you have authority to bind that business, and “you” refers to that business as well as you personally.
1. What ShiftScout is
ShiftScout helps hourly teams manage schedules and shift changes: managers build and publish schedules, employees post shifts they can’t work or claim open ones from a marketplace, and nothing becomes final until a manager approves it. Some parts of the Service (like third-party sign-in or notification delivery) depend on services we don’t control, described further below.
2. Accounts
You must be at least 18 years old and able to form a binding contract to create an account. Account creation happens two ways:
- Managers sign up directly (with an email and password, or a Google account) and thereby create a new organization on ShiftScout, of which they become the administrator.
- Employees join an existing organization using an invite link their manager shares with them, and do not create their own separate organization.
You’re responsible for keeping your login credentials confidential and for all activity under your account. Tell us right away at info@shiftscout.io if you suspect unauthorized use.
3. Free trial, subscriptions & billing
New manager accounts start on a 14-day free trial, no credit card required. After the trial, continued use of the Service for a given location requires an active paid subscription, billed monthly per location on a base price that includes a set number of employees, plus a per-employee fee for each additional employee at that location, as shown on our pricing page at the time you subscribe. We may change our prices from time to time; we’ll give you reasonable advance notice before a change applies to your account.
Payments are processed by Stripe, Inc. We never see or store your full card number. Subscriptions renew automatically each billing period unless cancelled beforehand. You can cancel at any time from your account settings; cancellation takes effect at the end of the then-current billing period, and (except where required by law) we don’t provide refunds for partial periods.
4. Acceptable use
You agree not to:
- Use the Service for anything unlawful, or to violate anyone else’s rights;
- Attempt to gain unauthorized access to the Service, other accounts, or our systems;
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent a mandatory law gives you that right despite this restriction;
- Scrape, crawl, or use automated means to access the Service outside its intended interfaces;
- Upload malicious code, or interfere with the Service’s normal operation; or
- Resell, sublicense, or provide the Service to a third party as if it were your own, without our written consent.
We may suspend or terminate access for accounts that violate this section, generally after notice and a reasonable chance to fix the issue, except where immediate action is needed to protect the Service or other users.
5. Your data
As between you and us, you (or, for an organization’s employee data, the manager’s organization) own the schedule, shift, and employee data you put into the Service. We process it on your behalf to provide the Service, as described in our Privacy Policy and, where applicable, a separate Data Processing Agreement. You’re responsible for making sure you have the right to share any personal data about your employees with us for this purpose, and for meeting your own obligations toward them (for example, telling them the Service is used to manage scheduling).
6. Third-party sign-in and services
You may sign in using Google. That connection is governed by Google’s own terms and privacy policy, and we only receive the basic profile information (name, email address) needed to create and authenticate your account. Notification emails are sent through Resend and payments are processed through Stripe; each of those providers processes data under its own terms as our subprocessor, as described in the Privacy Policy.
7. Intellectual property
The Service, including its software, design, and branding, belongs to Digital Alley AB and our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose — they don’t transfer any ownership of the Service to you.
8. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access for a material breach of these Terms that you don’t fix within a reasonable time of us telling you about it, for non-payment, or where required by law. On termination, your right to use the Service ends; sections of these Terms that by their nature should survive (like Sections 7, 9, 10, and 11) continue to apply.
9. Disclaimers
The Service is provided “as is,” without warranties of any kind, express or implied, except as required by mandatory law. We don’t promise the Service will be uninterrupted, error-free, or fit for a particular purpose beyond what these Terms describe.
10. Limitation of liability
To the maximum extent permitted by law, Digital Alley AB won’t be liable for indirect, incidental, or consequential damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim arose. Nothing in these Terms limits liability that can’t be limited under Swedish law, such as liability for gross negligence, willful misconduct, or death or personal injury caused by our negligence.
11. Governing law & disputes
These Terms are governed by the laws of Sweden, without regard to conflict-of-law rules. Any dispute that can’t be resolved informally will be submitted to the Swedish general courts, with Malmö District Court (Malmö tingsrätt) as the court of first instance, unless mandatory consumer-protection law gives you the right to bring a claim elsewhere.
12. Changes to these Terms
We may update these Terms from time to time. If a change is material, we’ll let you know (for example by email or an in-app notice) before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
